Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Tradesera ("Tradesera", "we", "our", or "us") and govern your use of our websites, applications, simulated trading competitions, and related services (collectively, the "Services").

1. Acceptance of Terms

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2A. Geographic Availability and Restricted Jurisdictions

During beta, Tradesera is available to U.S. residents only. Tradesera does not accept participation by any person or entity that Tradesera or its providers cannot lawfully or safely support, including persons, entities, countries, regions, or activity subject to U.S. sanctions, OFAC restrictions, FATF high-risk or increased-monitoring concerns, payment-provider restrictions, identity-verification limits, tax-documentation limits, or payout-provider limits.

Tradesera may deny registration, restrict access, close accounts, place payout or wallet holds, deny withdrawal eligibility, or require additional review if your location, residency, citizenship, identity, tax profile, payment method, payout method, VPN/proxy usage, sanctions screening, or AML/KYC review cannot be verified or supported.

3. Simulated Trading Nature

Unless expressly stated otherwise in a separate written agreement, activity on Tradesera competition accounts is simulated and educational in nature. Simulated balances are not bank deposits, are not brokerage accounts, and do not represent ownership of actual market positions. Tradesera does not custody customer investment funds.

4. Risk Disclosure and No Investment Advice

Trading and trading-related activity involve substantial risk. Past or simulated results are not guarantees of future performance. Tradesera does not provide investment, tax, accounting, or legal advice. You are solely responsible for your own decisions.

Each competition includes rules covering items such as contract limits, drawdown limits, minimum activity, eligibility criteria, and payout requirements. You agree to follow all published Competition Rules.

We may monitor account activity, logs, and platform interactions for security, compliance, quality, and fraud prevention. If we believe rules or Terms are violated, we may take actions including warnings, trade/result adjustments, account restrictions, payout holds, suspension, or termination.

10. Payout Eligibility and Review

Payouts are discretionary based on compliance with Competition Rules, settlement status, payment review, fraud screening, and other operational controls. Estimated timelines are not guaranteed and may vary.

11. Intellectual Property

The Services, including software, designs, text, graphics, logos, interfaces, and related materials, are owned by Tradesera or its licensors and protected by applicable intellectual property laws. You receive a limited, revocable, non-transferable license to use the Services for personal, non-commercial use, subject to these Terms.

12. User Content and Community Areas

If you post content in community channels or interactive areas, you are responsible for that content and represent that you have the right to post it. You grant us a non-exclusive license to host, display, and use that content to operate and improve the Services.

13. Third-Party Services

The Services may contain links or integrations with third parties, including payment, communication, data, and analytics providers. We are not responsible for third-party services, websites, or policies.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESERA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 30 DAYS BEFORE THE CLAIM, OR (B) USD $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tradesera and its affiliates, officers, employees, contractors, and suppliers from claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE LIMITATIONS. UNLIKE ACTUAL PERFORMANCE, SIMULATED RESULTS DO NOT REPRESENT REAL TRADING. RESULTS MAY UNDER OR OVER COMPENSATE FOR MARKET FACTORS SUCH AS LIQUIDITY. NO REPRESENTATION IS MADE THAT ANY ACCOUNT WILL ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

18. Governing Law, Venue, and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. To the extent permitted by law, disputes will be resolved exclusively in state or federal courts located in Florida, unless we elect arbitration in a specific matter.

Where permitted by law, you and Tradesera waive jury trial and class action participation for disputes arising from or relating to these Terms.

19. Time Limit for Claims

To the extent permitted by law, any claim arising out of or related to the Services or these Terms must be filed within one (1) year after the claim arises, or it is permanently barred.

20. Suspension, Termination, and Survival

We may suspend or terminate access to the Services at any time for business, legal, security, or Terms-related reasons. Provisions that by nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnification, and dispute provisions.

21. Changes to These Terms

We may update these Terms from time to time. Updated Terms become effective when posted. Continued use of the Services after updates means you accept the revised Terms.
